1. Agreement to these Terms
These Terms & Conditions (the “Terms”) form a legally binding agreement between you (“you”, “your”, the “User” or “Customer”) and LinkedMinds (“LinkedMinds”, “we”, “us” or “our”) governing your access to and use of the LinkedMinds website, dashboard, browser extension, application programming interfaces (APIs), the model context protocol (MCP) server, and all related software, features and services (collectively, the “Service”).
By creating an account, clicking “Continue”, “Sign in” or “Subscribe”, accessing the Service, or otherwise indicating your acceptance, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not access or use the Service.
You must be at least 18 years old and capable of forming a binding contract to use the Service. If you use the Service on behalf of a company or other entity, you represent that you are authorised to bind that entity, and “you” refers to that entity.
2. Description of the Service
LinkedMinds provides software that helps you automate and manage professional outreach and related workflows on third-party networking platforms, including LinkedIn, through your own account credentials and session. The Service may include lead discovery, message personalisation generated using artificial intelligence, campaign scheduling, warm-up activity, analytics, an inbox, and integration with the Claude assistant via an MCP server.
The Service acts on your behalf and at your direction. You are solely responsible for the configuration, content, targeting and operation of every campaign, message and action executed through your account.
3. Relationship with LinkedIn and other third-party platforms
LinkedMinds is an independent product. It is not affiliated with, endorsed, sponsored, authorised by, or in any way officially connected to LinkedIn Corporation, Microsoft Corporation, or any of their subsidiaries or affiliates. “LinkedIn” and all related names, marks, and logos are trademarks of their respective owners.
LinkedIn and other platforms maintain their own terms of service, user agreements and acceptable-use policies (collectively, “Platform Terms”). Automation, scraping and the use of third-party software may be restricted or prohibited under those Platform Terms. You acknowledge and agree that:
- it is your sole responsibility to review, understand and comply with all applicable Platform Terms before and while using the Service;
- you use the Service with your own account, credentials and session entirely at your own risk and discretion;
- LinkedMinds does not represent, warrant or guarantee that your use of the Service complies with, or will not violate, any Platform Terms; and
- any consequence imposed by a platform - including warnings, feature limits, content removal, temporary restriction, suspension, or permanent banning of your account - is a matter between you and that platform.
4. Account safety, “ban protection” and no guarantee of results
The Service includes safety-oriented features designed to reduce risk, which may include human-like rate limiting, randomised timing, gradual account warm-up, session-health monitoring, circuit breakers, proxy management and machine-learning ban-risk scoring (collectively, “Safety Features”).
The Safety Features are provided on a best-effort basis only and do not, and cannot, guarantee that your account will not be flagged, restricted, suspended or banned. Whether an account is actioned by a platform depends on many factors outside our knowledge and control, including but not limited to:
- the platform’s own internal, opaque and frequently-changing detection systems and policies;
- your account’s age, history, reputation, prior violations and standing;
- the acceptance, rejection, spam-reporting or complaint behaviour of the people you contact;
- your popularity, network size, profile completeness and overall on-platform activity;
- the volume, content, tone and targeting of the outreach you choose to run;
- your manual activity on the platform performed outside the Service, which may conflict with or compound automated activity;
- changes in IP address, device, location or login patterns; and
- events of force majeure and other factors beyond our reasonable control.
No responsibility for account restriction or banning
You expressly acknowledge and agree that LinkedMinds is not responsible or liable for any restriction, throttling, shadow-banning, suspension, deactivation, loss or permanent ban of any LinkedIn or other third-party account arising from, related to, or in connection with your use of the Service, even where Safety Features were enabled. You use automation with full knowledge of these risks and assume them entirely. We provide high-standard protection measures, but their presence is not a warranty, insurance, or guarantee of any outcome.
LinkedMinds makes no guarantee regarding the number of connections, replies, leads, meetings, conversions, revenue, or any other result. Examples of performance are illustrative and not a promise.
5. Your responsibilities and acceptable use
You are responsible for everything that happens through your account. You agree that you will not, and will not permit anyone to:
- use the Service in violation of any applicable law, regulation, or third-party right, including data-protection, anti-spam, marketing and intellectual-property laws;
- send unlawful, deceptive, harassing, defamatory, hateful, fraudulent or otherwise objectionable content;
- contact people who have not consented where consent is legally required, or after they have asked you to stop;
- impersonate any person or entity or misrepresent your affiliation;
- use the Service to build, sell, or distribute a competing product, or to scrape or resell data in violation of applicable law or Platform Terms;
- upload malicious code, attempt to gain unauthorised access to the Service or its infrastructure, or interfere with its operation;
- circumvent usage limits, plan restrictions, billing, authentication, or any technical protection measure;
- share, resell or sublicense your account, API key or access without our written consent.
You are responsible for maintaining the confidentiality of your login credentials and API keys, for all activity under your account, and for the legality, accuracy and content of all data you upload, import or process through the Service.
6. Trial, plans, billing and renewals
Free trial
We may offer a time-limited free trial (currently 14 days). At the end of the trial, access to the Service is automatically suspended unless you subscribe to a paid plan. We may limit trials to one per person, email, organisation, payment instrument or device, and we reserve the right to refuse, shorten, suspend or revoke a trial, and to withhold, suspend or terminate access where we reasonably suspect abuse, fraud, multiple-account creation, or circumvention of trial limits.
Paid subscriptions
Paid plans are billed in advance on a recurring (monthly or annual) basis through our third-party payment processor. By subscribing, you authorise us and our processor to charge your payment method on each renewal at the then-current price until you cancel. Prices, plan features and limits may change; we will make reasonable efforts to notify you of material changes in advance.
Cancellation and refunds
You may cancel at any time; cancellation takes effect at the end of the current billing period and you retain access until then. Except where required by applicable law, fees are non-refundable and we do not provide refunds or credits for partial periods, unused time, or downgrades. Failure to pay may result in suspension or termination of access.
Suspension on expiry or non-payment
If your trial or paid subscription ends, lapses, or a payment fails, we may immediately suspend or restrict your access to the dashboard, APIs, MCP server, notifications and all other parts of the Service until a valid subscription is active. Running campaigns and automated activity may be paused during any such suspension.
7. Artificial intelligence features
Certain features generate text and suggestions using AI models. AI output may be inaccurate, incomplete, biased or inappropriate, and is provided for your review. You are responsible for reviewing, editing and approving any AI-generated content before it is sent or relied upon. You must not use AI features to generate unlawful, infringing or deceptive content.
8. Intellectual property
The Service, including all software, design, text, graphics, logos and underlying technology, is owned by LinkedMinds or its licensors and is protected by intellectual property laws. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes. You retain ownership of the data and content you lawfully upload (“Your Content”), and you grant us a licence to host, process and use Your Content as necessary to provide and improve the Service. We may use aggregated, de-identified data for analytics and product improvement.
9. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory. To the maximum extent permitted by law, LinkedMinds disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising from course of dealing or usage. LinkedMinds does not warrant that the Service will be uninterrupted, error-free, secure, or that it will achieve any particular result, or that it complies with any third-party Platform Terms.
10. Limitation of liability
To the maximum extent permitted by applicable law, in no event will LinkedMinds, its owners, directors, employees, contractors, suppliers or licensors be liable for:
- any indirect, incidental, special, consequential, exemplary or punitive damages;
- any loss of profits, revenue, business, goodwill, data, leads, opportunities, or anticipated savings;
- any restriction, suspension, deactivation, loss or banning of any LinkedIn or other third-party account, or any consequence imposed by any third-party platform; or
- any matter beyond our reasonable control,
whether based in contract, tort (including negligence), strict liability or otherwise, and whether or not we were advised of the possibility of such damages.
Our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the total fees you actually paid to LinkedMinds in the three (3) months immediately preceding the event giving rise to the claim, or USD 100, whichever is greater. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in such cases our liability is limited to the maximum extent permitted by law.
11. Indemnification
You agree to defend, indemnify and hold harmless LinkedMinds and its owners, directors, employees and agents from and against any and all claims, damages, liabilities, losses, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Service; (b) Your Content and your outreach; (c) your violation of these Terms, any law, any third-party right, or any Platform Terms; or (d) any restriction or banning of your accounts by a third-party platform.
12. Suspension and termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure, engaged in abuse or fraud, or for non-payment. You may stop using the Service and cancel at any time. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification and governing law) will survive termination.
13. Changes to the Service and these Terms
We may modify, suspend or discontinue any part of the Service at any time. We may also update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws rules. Subject to applicable law, the courts located in India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to such jurisdiction and venue. Nothing in this section limits any mandatory consumer-protection rights you may have under the laws of your place of residence.
15. Miscellaneous
These Terms, together with the Privacy Policy, constitute the entire agreement between you and LinkedMinds regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Headings are for convenience only.
